Terms of Service

This document governs your use of the Identity Market platform, including API access, subscriptions, and generated outputs. It applies to all users — subscribers, creators, and visitors.

1. Acceptance of Terms

By accessing or using Identity Market (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). These Terms apply to all users of the Platform, including subscribers, creators, and visitors. If you do not agree to these Terms, you must not use the Platform.

If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and that the organisation agrees to be bound by them.

2. Description of Service

Identity Market is an AI identity infrastructure marketplace and API platform. The Platform enables:

  • Subscribers to access governed AI identities via authenticated API calls. Identity configurations (including model weights, workflows, and prompt templates) remain hosted on Platform infrastructure at all times and are never transferred to subscribers.
  • Creators to publish governed synthetic AI identities and earn revenue when subscribers purchase hosted execution access through the Platform.

The Platform operates on a subscription basis. API access is authenticated and metered per subscription tier. Every API request is validated in real time against subscription status and usage limits. Generated outputs are delivered as signed image URLs, not as raw model files.

3. Accounts

  • You must be at least 18 years of age to create an account or use the Platform.
  • You are responsible for maintaining the security of your account credentials, including your password and any API keys issued to you. You must not share your credentials with any third party.
  • Only one account is permitted per individual or organisation. Creating multiple accounts to circumvent usage limits or enforcement actions is a violation of these Terms.
  • You must provide accurate and complete information when registering and must keep your account information up to date.
  • You are responsible for all activity that occurs under your account.

4. Subscriptions and Payments

  • Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorise Identity Market to charge your payment method on a recurring basis until you cancel.
  • Subscription fees are non-refundable except as required by applicable law.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain API access until that date.
  • We will provide at least 30 days’ email notice of any price changes before they take effect. Continued use of the Platform after a price change constitutes acceptance of the new pricing.
  • Enterprise subscriptions are governed by a separate written contract, which takes precedence over these Terms where there is a conflict.

5. API Usage

  • API keys issued by the Platform are personal, non-transferable, and may only be used by the account holder or organisation to which they were issued.
  • You may not resell, sublicense, or otherwise provide third parties with access to the API on a commercial basis without express written consent from Identity Market.
  • You may not use the API or any generated outputs to train, fine-tune, or otherwise develop a competing AI model or identity platform without our prior written permission.
  • Rate limits apply per subscription tier. Attempts to circumvent rate limiting are a violation of these Terms and may result in immediate suspension.
  • All API usage is logged and metered for billing, enforcement, and audit purposes.

6. Creator Content

  • Creators retain ownership of their source assets, including LoRA weights, workflows, and prompt configurations submitted to the Platform.
  • By submitting content to the Platform, creators grant Identity Market a non-exclusive, worldwide, royalty-bearing right to host, distribute, and make available their identity configurations via the API infrastructure for the duration of their participation in the creator programme.
  • The Platform takes a platform fee from subscription revenue earned by creator identities. Revenue share terms are set out in the Creator Agreement.
  • Creators are solely responsible for ensuring they have all necessary rights, consents, and permissions for any content submitted to the Platform.

7. Intellectual Property

  • The Platform code, branding, design, trademarks, and all proprietary technology are the exclusive property of Identity Market and its licensors. Nothing in these Terms grants you any ownership interest in the Platform.
  • Subscriber subscriptions grant execution rights only — not ownership of any AI identity, LoRA weight, model configuration, or associated intellectual property. See the License Agreement for full details.
  • Generated outputs (images) produced through your API subscription belong to you, subject to the usage restrictions set out in these Terms and in the identity-specific usage terms applicable to the identity used.
  • Platform-issued access records are non-transferable and may not be reassigned between users.

8. Prohibited Uses

The following uses are prohibited. See the Acceptable Use Policy for the full list.

  • Generating illegal, harmful, or deceptive content of any kind.
  • Impersonating real individuals without their explicit, documented consent.
  • Generating NSFW or sexually explicit content using API Standard or API Pro tier identity subscriptions.
  • Automated scraping of the Platform, its content, or its API responses beyond your active subscription usage.
  • Any use that violates applicable local, national, or international law or regulation.

9. Termination

  • Either you or Identity Market may terminate your account at any time.
  • Identity Market may suspend or terminate your access immediately and without notice if you violate these Terms or our Acceptable Use Policy, if we are required to do so by law, or if continued access poses a risk to the Platform or other users.
  • Upon termination, your API access ceases immediately. All active API keys are revoked.
  • Unused subscription time remaining after termination is non-refundable, except as required by applicable law.

10. Disclaimers and Limitation of Liability

The Platform is provided “as is” and “as available.” To the maximum extent permitted by applicable law, Identity Market disclaims all express or implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, and uninterrupted availability. We do not guarantee that the Platform, generated outputs, or creator identities will meet your requirements, remain available without interruption, or be free of errors.

To the maximum extent permitted by law, Identity Market and its affiliates, officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to the Platform. Our aggregate liability for all claims arising from or related to these Terms will not exceed the greater of $100 USD or the fees you paid to Identity Market during the three months preceding the event giving rise to the claim.

11. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to them or the Platform will be governed by the laws of the jurisdiction in which Identity Market is organised, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the parties agree that the state or federal courts located in that jurisdiction will have exclusive jurisdiction over disputes arising from these Terms, and each party submits to the personal jurisdiction of those courts.

12. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice by email to the address associated with your account before the changes take effect. For non-material changes, we may update these Terms without prior notice.

Continued use of the Platform after updated Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Platform.
